Context:

Reporting to the Legal and Insurance Department, based at the LDA Group headquarters, you will support the team (composed of 3 lawyers) on the following missions:

Missions :

Corporate law and contracts (national and international)

Responsibility for a portfolio of unlisted companies attached to the holding company:

  • Corporate monitoring of subsidiaries located in France and throughout the world: approval of accounts, change of mandates, amendments to the articles of association, organization of boards of directors and general meetings, drafting of notices of meetings, reports, resolutions, minutes, relating to both day-to-day management (approval of accounts – appointment of directors – incorporation/dissolution of companies) and capital transactions (increase or reduction in capital) of companies of various forms (SA, SAS), French subsidiaries of the group, drafting of corporate documentation.
  • Carrying out legal formalities with the competent administrative services (registration service, commercial court clerk’s office, etc.);
  • Maintenance of legal registers;
  • Drafting of legal documentation relating to capital operations, transformation, universal transmission of assets, dissolution-liquidation, mergers, transfers.
  • Drafting of technical assistance contracts, cash management agreements, current account agreements, tax consolidation agreements, loan agreements.
  • Participation in specific operations: audits, mergers and acquisitions, disposals, creation of joint ventures and contribution to the drafting of contracts related to the project (corporate, operational, financial); and more specifically, drafting of letters of intent, memoranda of understanding, deeds of transfer of securities, asset and liability guarantees, shareholders’ agreements, etc.
  • Assistance in the commercial development of the Group and in the context of new projects: Advice, negotiation, drafting and management of the execution of all types of national and international contracts of a commercial nature (confidentiality, guarantees, management, services, sales, licenses, etc.), legal structuring of projects.
  • Providing legal expertise in corporate law.
  • Interface in English with the teams of the subsidiaries.

Commercial contracts :

  • Participation in the elaboration of commercial contracts in connection with the Business Units.

Compliance :

  • Implementation and deployment of the Group’s compliance policy
  • Coordination of the Group’s compliance issues

Litigation (national and international) :

  • Participation in the management of all types of business law disputes (litigation, international arbitration, amicable settlements)

Trademarks and Intellectual Property and Patents :

  • Management of the trademark portfolio and intellectual property and patent issues.

Legal watch – Quality – Internal processes :

  • Ensures legal monitoring and participates in raising the awareness of operational staff to the various legal issues.
  • Application and implementation, in collaboration with the operational staff and the legal department, of standard models and internal procedures.
  • Follow-up of the group’s delegations of authority
  • Updating the legal database of the Group’s companies and the organization chart of the companies.

Prerequisites :

  • Initial training (Bac + 5) in business law or contract law.
  • Ideally, the candidate should hold a CAPA.
  • 3-5 years of significant experience in a law firm or a legal department in corporate and contract law with a significant part in compliance in a French and international scope, preferably in the maritime and/or industrial sector.

Languages :

  • The working languages are English and French.
  • Fluency in written and spoken English is required.
